20a4- 36 (8) AMENDMENT TO LEASE AGREEMENT as of Apr / 3 : This Amendment to Lease Agreement (“Amendment”) is made effective corporatl 2024 (“Effective Date”), between the City of Muskegon, a Michigan municipal on, of 933 Terrace Street, Muskegon, Michigan 49440 (“City”), and Muskegon Area Sports Hall of Fame, Inc, a Michigan nonprofit corporation, of 1205 Central Avenue, Muskegon, Michigan 49445 (“Tenant”). BACKGROUND A. City and Tenant entered into a certain Lease Agreement dated October 12, 2021 (“Lease”), where City leased to Tenant and Tenant leased from City a portion of the Tyinity Health Arena, formerly known as the Mercy Health Arena (“Arena”), to display sports memorabilia and other sports- related items (“Hall of Fame”). City and Tenant now desire to amend the Lease as described below. All capitalized terms shall have the same meaning as in the Lease unless otherwise defined in this Amendment. Therefore, the Lease is amended as follows: Leased Premises. City and Tenant agree to relocate the Hall of Fame to a new location inside the Arena and the closet space behind the walls as depicted on the attached Exhibit A (“Leased Premises”). Effective Date, Term. City and Tenant agree that the Effective Date of the Lease shall be the hw same as the Effective Date of this Amendment. All other provisions of Section 2 of the Lease shall remain in full force and effect. Restoration of Leased Premises. City agrees to restore the Leased Premises to new condition, including repairs to walls and floors to eliminate any visual or physical damage. City also agrees to the following relocate anything that is currently located in the Leased Premises and remove the display panels from the walls. Use of Arena Televisions. City agrees to allow Tenant to use the Arena televisions for display purposes. Tenant will not use the televisions during City organized events, including Muskegon Lumberjack’s, Risers and Ironmen games, Graduations and MMA. It will be the responsibility of City to manage television use for Tenant presentations. City and Tenant will mutually agree on the number and location of other televisions to be placed with the Leased Premises and share equally in the cost of such television installation. Security, City agrees to provide security for the Hall of Fame, to include general monitoring by security staff during Arena events. 6. Counterparts. This Amendment may be executed in counterparts. Electronic signatures shall be deemed to have the same effectiveness as original signatures. 7. Notices. The contact information in Section 19 of the Lease shall be deleted and replaced with the following: To Landlord: City of Muskegon Attn: City Manager 933 Terrace St. Muskegon, MI 49440 To Tenant: Muskegon Area Sports Hall of Fame, Inc. Attn: Dan Beckeman 5288 Scenic Dr. Whitehall, MI 49461 8. Full Force and Effect. Unless specifically described in this Amendment, all other provisions of the Lease shall remain in full force and effect. This Amendment is effective as of the Effective Date.
